1Acceptance & Scope

By using this website, submitting an enquiry or quote request, creating an account, or placing an order with Prochem Scientific, you agree to these Terms & Conditions to the extent they apply to your interaction or transaction.

A specific written quotation, purchase order acceptance, order confirmation, invoice, manufacturer warranty or separately signed agreement may contain additional or different terms. For the relevant transaction, those specific commercial terms take priority where they clearly conflict with these general website terms.

2Website Use

You may use this website for lawful business, laboratory, research, educational and procurement purposes. You must not misuse the website, interfere with its operation, attempt unauthorised access, upload malicious material, provide deliberately false information, or use website content in a manner that infringes another person's rights.

Website availability may be interrupted for maintenance, hosting, security, technical or other operational reasons.

3Product Information, Specifications & Availability

Product names, descriptions, photographs, technical data, pack sizes, grades, models and other website information are intended to help identify products and may be updated from time to time. Manufacturers may revise specifications, packaging, appearance or models without prior notice.

Before ordering, the buyer should confirm any specification, grade, model, standard, compatibility, calibration, certification, pack size, brand or application requirement that is material to the intended use. Availability is subject to supplier/manufacturer stock, lead time and final confirmation.

4Quotations & Pricing

Unless expressly stated otherwise, a quotation is an invitation to place or confirm an order on the commercial terms stated in that quotation. Prices, discounts and validity periods may vary by product, quantity, brand, supplier availability, exchange rate, freight, taxes, special handling or other commercial factors.

The quotation's stated validity period applies. If no validity is stated, please reconfirm the price and availability before placing an order. Obvious typographical, calculation or data-entry errors may be corrected before final order acceptance.

5Taxes, Freight & Other Charges

GST, freight, insurance, packing, installation, calibration, commissioning, special handling and other charges are included only where the quotation or order confirmation expressly states that they are included. Otherwise, applicable charges may be added as stated in the commercial offer or required by law.

The buyer is responsible for providing correct billing, GST and delivery information needed for invoicing and supply.

6Orders & Acceptance

A website submission, cart action, automated email or receipt of a purchase order does not necessarily mean that an order has been finally accepted. Where verification is required, an order becomes binding when we confirm acceptance, accept payment on the agreed basis, or otherwise communicate that the order is being processed, subject to applicable law and the agreed commercial terms.

We may seek clarification of specifications, quantity, delivery location, payment terms, statutory details or other information before confirming an order.

7Payment Terms

Payment terms are those stated in the applicable quotation, proforma invoice, order confirmation or separately agreed communication. Where advance payment is required, procurement or dispatch may begin only after cleared funds are received.

Any credit facility, credit period or payment arrangement is subject to prior approval and may be withdrawn or revised for future orders. Delayed payment may affect further supply, subject to the agreed terms and applicable law.

8Delivery, Lead Time & Risk

Quoted delivery or dispatch dates are good-faith estimates based on information available at the time. Lead times may change because of manufacturer schedules, import or transport delays, stock availability, force-majeure events, regulatory requirements or other circumstances outside our reasonable control.

Delivery terms, freight responsibility, destination and transfer of risk will be governed by the applicable quotation, invoice, transport document or agreed commercial terms. The buyer should ensure that an authorised person is available to receive and inspect the shipment.

9Inspection, Damage, Shortage & Incorrect Supply

The buyer should inspect shipments promptly after receipt. Visible transport damage, shortage, leakage, incorrect product or apparent defect should be reported to us as soon as reasonably possible with the invoice/order reference and supporting photographs or other evidence where available.

Do not use or materially alter a product that appears damaged, leaking, incorrectly supplied or unsafe. We may request packaging, batch details, serial numbers, photographs, inspection information or return of the item so the claim can be assessed.

10Cancellations & Returns

Cancellation and return eligibility depends on the product, procurement status, manufacturer/supplier policy, whether the item was specially sourced or customised, product condition, safety considerations and the terms of the applicable quotation or order.

Opened chemicals, temperature-sensitive goods, hazardous or controlled materials, custom-configured instruments, specially procured items and goods that cannot safely be resold may have restricted return eligibility, except where return, replacement or another remedy is required because goods are defective, damaged, incorrectly supplied, or applicable law provides otherwise.

Please contact us before returning any item. A return is not accepted merely because goods are sent back without prior coordination.

11Warranty, COA, SDS, Calibration & Technical Documents

Manufacturer warranty, where applicable, is governed by the relevant manufacturer's warranty conditions unless we expressly provide a different written warranty. Warranty may not cover misuse, improper installation, unauthorised repair, unsuitable operating conditions, normal wear, consumables or damage outside the applicable warranty terms.

COA, SDS, manuals, calibration certificates, test certificates or other documents are supplied where applicable and available for the relevant product/order. The buyer should specify mandatory documentation before confirming the order so availability and scope can be verified.

12Chemical Safety, Installation & Regulatory Use

Customers are responsible for ensuring that products are purchased, stored, handled, installed and used only by appropriately trained or authorised persons and in accordance with applicable safety instructions, SDS information, manufacturer guidance, workplace procedures and legal/regulatory requirements.

The buyer is responsible for determining whether a product is suitable and legally permitted for the intended process, application, location and end use unless a specific written suitability commitment has been agreed.

13Third-Party Brands & Intellectual Property

Third-party brand names, trademarks, model names, product images and technical information remain the property of their respective owners. Their appearance on our website is for product identification or informational purposes and does not by itself mean that Prochem Scientific is an authorised distributor, dealer or representative of that brand.

Prochem Scientific website design, original text, graphics, branding and other proprietary content may not be copied, republished or commercially exploited without permission, except where use is permitted by law.

14Liability, Indirect Loss & Force Majeure

To the extent permitted by applicable law, neither party will be responsible for losses that are remote, indirect or not reasonably foreseeable from the relevant breach or event. Any specific liability cap or remedy agreed in a quotation, contract or manufacturer warranty will apply to that transaction where legally valid.

Nothing in these Terms excludes or limits liability, remedies or statutory rights that cannot lawfully be excluded or limited.

We are not responsible for delay or non-performance caused by events beyond our reasonable control, including natural disasters, fire, flood, epidemic, war, civil disturbance, government action, regulatory restriction, transport disruption, supplier/manufacturer interruption, import/export restriction, utility failure or comparable force-majeure circumstances. We will use reasonable efforts to communicate material delays.

15Applicable Law, Disputes, Changes & Contact

These Terms and transactions with Prochem Scientific are governed by the laws of India, subject to any mandatory law that applies to the particular transaction. The parties should first attempt in good faith to resolve a commercial dispute through direct communication.

Where a dispute requires court proceedings and the parties have not validly agreed otherwise, jurisdiction will be determined in accordance with applicable law. The current preferred local jurisdiction reference for our business is Gautam Buddha Nagar, Uttar Pradesh.

We may update these website Terms & Conditions from time to time. The version posted on this page applies prospectively from its stated effective or revision date unless a transaction is governed by separately agreed terms.
